II. GENERAL TERMS OF SALE (GTS)
1. Subject and Scope of Application (Pro Adaptation)
These GTS apply to all orders for consulting services, visual creation, and organizational support (Packs), as well as custom quotes (Art Illustration, Complex Logos) placed by the Professional Client. The "Website Blueprint Pack" is an intellectual service of consulting and UX/SEO structuring and is not a web development or technical integration service.
2. Products and Services
The services offered include the Strategic Audit, the Packs (Visuals, Organization, Monthly), and Custom Art Creations. Minor variations may exist due to the artisanal and custom nature of the work.
3. Order Process and Payment
A. Order Process
Any order is initiated by validating a fixed-price Pack or by requesting/validating a custom quote. Acceptance of the quote by the Client constitutes the definitive formation of the contract.
B. Payment and Deposit (B2B Security)
Fixed-Price Packs: Full payment is required upon order.
Custom Services: A 50% deposit of the total price (TTC) is required upon quote validation to begin the service.
Payment Methods: Stripe, PayPal, Bank Transfer.
4. Pricing and Legal Notice
Prices are stated in Euros (€), Tax Included (TTC). Tax not applicable under French law, Art. 293 B of the General Tax Code (CGI) (this mention will appear on invoices and pricing pages).
5. Intellectual Property (IP) and Commercial License
The Artist (Demessine Emilie) retains full copyright. The Client acquires a commercial license for usage limited to the scope and duration agreed upon in the quote. The Client does not acquire ownership of the original physical artwork nor the right to unlimited reproduction or resale.
6. Right of Withdrawal
In accordance with Article L221-28 of the French Consumer Code, services that are fully executed after the Client's agreement, and goods manufactured to the Client's specifications (custom creations), are not subject to the right of withdrawal.
7. Warranties, Liability, and Disputes
A. Liability and Warranty Limitation
Due to the artisanal nature of the creations, minor variations are possible. The Seller's liability shall only be engaged in the event of proven fault and shall be limited to the amount of the order.
Limitation of Liability for the "Website Blueprint Pack" : The Seller is only responsible for the quality and strategic accuracy of the deliverable (the Assembly Protocol). The Seller shall not be liable for any technical malfunction on the Client's chosen creation platform (Wix, Hostinger, etc.) nor for assembly errors made by the Client during the DIY implementation.
B. Termination and Refusal of Service
The Seller reserves the right to refuse any order or terminate the collaboration in case of non-compliance with rules of common courtesy and respect by the Client, or if the project conflicts with the Enterprise's ethical values.
C. Disputes and Governing Law
These GTS are governed by French law. In the event of a non-amicable dispute, the competent court will be that of the Seller's domicile.
III. COLLABORATION CHARTER (The Human Aspect)
Human Commitment: I work alone from start to finish. I do not have a dedicated staff, customer service, or technical support. Our collaboration is direct, simple, and human.
Asynchronous Communication: Support favors a flexible, asynchronous format (email/structured communication) to respect the Client's schedule.
I reserve the right to refuse any order conflicting with my values or any disrespectful client.
